1. General

1.1. The Baby Project HK is a trading name of Out of the Box Holdings Limited, a company based in Hong Kong. In these Terms and Conditions, "we", "us", and "our" refer to Out of the Box Holdings Limited trading as The Baby Project HK.

1.2. These Terms and Conditions govern your use of our website (www.thebabyprojecthk.com) and the services we provide. By accessing our website or engaging our services, you agree to be bound by these terms.

1.3. We may update these Terms and Conditions from time to time. The updated version will be posted on our website with a revised date. Your continued use of the website or our services after any changes constitutes your acceptance of the updated terms.

2. Our Services

2.1. The Baby Project HK offers baby gear consultancy services in Hong Kong, including:

• Free Initial Consultation — a 30-minute introductory call at no charge

• Curated Baby Shopping List — a personalised, expert-vetted shopping list

• Curated List & Item Purchasing — we purchase and deliver selected items on your behalf

• Shopping, Room Setup & Decor — a full-service nursery planning, purchasing, and setup service

2.2. All services are provided in Hong Kong unless otherwise expressly agreed in writing.

2.3. Service details, scope, and deliverables will be confirmed at the time of booking. Any material changes to the agreed scope must be agreed in writing by both parties before work proceeds.

3. Payments

3.1. Fees for our services will be confirmed to you prior to booking. Payment is required before services commence unless otherwise agreed in writing.

3.2. For services that involve purchasing items on your behalf (Curated List & Item Purchasing and Shopping, Room Setup & Decor), a budget deposit covering the estimated cost of goods may be required upfront. Any unused portion of the deposit will be returned to you after all purchases are completed and costs accounted for.

3.3. All payments are non-refundable. Once payment has been made and a service confirmed, no refunds will be issued under any circumstances.

3.4. If you need to reschedule a confirmed appointment or service, you must notify us at least 24 hours in advance by email at hello@thebabyprojecthk.com or via WhatsApp at +852 5911 2086. Requests received with less than 24 hours’ notice will not be eligible for rescheduling. Where notice is given in time, we will work with you in good faith to find a mutually suitable alternative date, subject to our availability. Rescheduling is offered as a courtesy and does not entitle you to a refund.

3.5. Products purchased on your behalf are subject to the individual retailers’ refund and return policies. We will use reasonable endeavours to assist you with returns where possible, but we cannot guarantee refunds from third-party retailers.

4. Product Purchasing and Delivery

4.1. Where we purchase products on your behalf, we act as your agent and will exercise reasonable care in selecting and procuring items as agreed.

4.2. Risk in goods purchased on your behalf passes to you upon delivery to your specified address. We are not responsible for loss or damage that occurs after delivery.

4.3. If an item is out of stock or unavailable, we will notify you promptly and propose a suitable alternative. We will not substitute products without your approval.

4.4. Delivery timelines are estimates and may be affected by retailer availability, courier performance, or other factors outside our control. We will keep you informed of any delays.

4.5. You are responsible for ensuring that your delivery address is accurate and that someone is available to receive the delivery. We cannot accept liability for failed deliveries due to incorrect information provided by you.

5. Recommendations and Liability

5.1. Our recommendations are based on our professional expertise, experience, and knowledge of the Hong Kong market. They are provided in good faith for informational and advisory purposes.

5.2. We are a consultancy, not a retailer or manufacturer. We do not manufacture, stock, or sell products directly. Our role is to advise and, where engaged to do so, to purchase on your behalf.

5.3. To the extent permitted by Hong Kong law, we exclude liability for any indirect, consequential, or special loss arising from reliance on our recommendations or use of our services. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud, or for any other liability that cannot be excluded under Hong Kong law, including the Control of Exemption Clauses Ordinance (Cap. 71).

5.4. Our total liability to you in connection with any services shall not exceed the fees paid by you for those services.

6. Dispute Resolution

6.1. If you have a complaint or concern, please contact us first at hello@thebabyprojecthk.com. We will acknowledge your complaint within 3 business days and aim to resolve it within 14 business days.

6.2. If a dispute cannot be resolved directly, both parties agree to attempt resolution through good-faith negotiation before commencing any formal legal proceedings.

6.3. If negotiation is unsuccessful, either party may refer the dispute to mediation through the Hong Kong Mediation Centre (www.hkmc.com.hk) or a mutually agreed mediator before resorting to litigation.

6.4. These Terms and Conditions are governed by the laws of Hong Kong. If a dispute proceeds to formal legal proceedings, both parties submit to the exclusive jurisdiction of the courts of Hong Kong.

7. Intellectual Property

7.1. All content on our website and in materials provided through our services — including text, graphics, logos, images, shopping lists, and recommendations — is the property of Out of the Box Holdings Limited and is protected by copyright and other intellectual property laws of Hong Kong.

7.2. You may not share, copy, distribute, reproduce, or sell any materials provided to you through our services or available on our website — including but not limited to shopping lists, product recommendations, nursery plans, and any written or visual content — under any circumstances and for any purpose, whether commercial or personal, without prior written consent from The Baby Project HK.

7.3. All materials provided to you are for your sole personal use in connection with the service you have engaged. They may not be forwarded, shown, or made available to any third party in any format, including digitally or in print.

7.4. Any unauthorised use, sharing, or reproduction of our materials constitutes a breach of these Terms and Conditions and an infringement of our intellectual property rights. We reserve the right to seek all available legal remedies under Hong Kong law, including injunctive relief, damages, and recovery of legal costs.

8. User Conduct

8.1. You agree not to misuse our website. This includes, but is not limited to, activities that interfere with website security, infringe the rights of others, or are unlawful under Hong Kong law.

8.2. We reserve the right to suspend or terminate access to our website or services for users who violate these Terms and Conditions.

9. Privacy

9.1. We are committed to protecting your personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong. Please refer to our Privacy Policy at www.thebabyprojecthk.com for full details on how we collect, use, and protect your personal information.

10. Third-Party Links

10.1. Our website may contain links to third-party websites (such as retailers and Instagram). We have no control over and accept no responsibility for the content, privacy practices, or accuracy of any third-party sites. Visiting those sites is at your own risk.

11. Indemnity

11.1. You agree to indemnify and hold harmless Out of the Box Holdings Limited, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of your use of our website, violation of these Terms and Conditions, or infringement of any third-party rights.
